These Terms of Service ("Terms") govern your access to and use of ClockinCloud's time tracking and HR management platform ("Service"), operated by ClockinCloud Ltd ("we", "us", or "our"), a company registered in England and Wales.

By accessing or using our Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Service Description

ClockinCloud provides a cloud-based platform for:

  • Time and attendance tracking
  • Leave management and approval workflows
  • Employee scheduling
  • Team communication
  • Payroll integration
  • Reporting and analytics

The Service is provided as Software-as-a-Service (SaaS) and is accessed via web browsers and mobile applications.

3. Account Registration

3.1 Account Creation

To use our Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Types

  • Organisation Account: Created by employers to manage their workforce.
  • Employee Account: Created for individual employees within an organisation.

3.3 Account Security

You are responsible for all activities under your account. Notify us immediately if you suspect unauthorised access.

4. Subscription and Payment

4.1 Free Trial

We offer a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you may subscribe to continue using the Service.

4.2 Subscription Plans

We offer various subscription plans with different features and employee limits. Current pricing is available on our website.

4.3 Payment Terms

  • Subscriptions are billed monthly or annually in advance.
  • All prices are in GBP and exclusive of VAT unless stated otherwise.
  • Payment is due upon invoice. We accept major credit and debit cards.
  • Failed payments may result in service suspension.

4.4 Refunds

Subscription fees are non-refundable except where required by law. If you cancel, you may continue to use the Service until the end of your current billing period.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe the rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorised access to systems or data
  • Interfere with the Service's operation
  • Use the Service to send spam or unsolicited communications
  • Resell or redistribute the Service without authorisation
  • Remove or alter proprietary notices

6. Data Ownership and Responsibility

You retain ownership of all data you upload to the Service ("Your Data"). You grant us a licence to use Your Data solely to provide and improve the Service.

You are responsible for ensuring the accuracy and legality of Your Data. We do not verify the accuracy of data you provide.

The Service may integrate with third-party services (e.g., Xero, Gmail). Your use of these integrations is subject to the third party's terms. We are not responsible for third-party services.

9. Service Availability

9.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Modifications

We may modify or discontinue features of the Service at any time. We will provide reasonable notice of significant changes.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind.
  • We do not warrant that the Service will be error-free or uninterrupted.
  • Our total liability is limited to the fees you paid in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, or consequential damages.

Nothing in these Terms excludes or limits liability for death, personal injury, fraud, or other matters that cannot be excluded by law.

You agree to indemnify and hold harmless ClockinCloud Ltd from claims arising from your use of the Service, breach of these Terms, or violation of any rights of a third party.

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your account if you breach these Terms, fail to pay fees, or engage in conduct harmful to the Service or other users.

12.3 Effect of Termination

Upon termination, your access to the Service will cease. You may request export of Your Data within 30 days of termination.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and ClockinCloud Ltd regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance.
